We, whose names are hereunto annexed do hereby certify: That we have associated together, under and by virtue of the provisions of an act entitled "An Act to provide for the Incorporation of Railroad Companies, and the Management of he Affairs thereof, and other matters relating thereto," approved May 20th, 1861 for the purposes of constructing, owning and manufacturing a Railroad heading from the City of Placerville in the County of El Dorado and State of California to or near the town of Folsom in the County of Sacramento. That the line of said Road is within the Counties of El Dorado and Sacramento and its length, as near as the same can be estimated, is Forty Four Miles; That the name by which said corporation is to be distinguished is "The Placerville and Sacramento Valley Railroad"; that the number of years the same is to continue in existence is Fifty; That the Capital Stock of said company is One Million Five Hundred Thousand Dollars to be divided into shares of one hundred dollars each; That the number of Directors to manage the affairs of said Company is nine; That the names of the Directors who are to hold an office until others are elected, as may be provided by the by-law of the Company, are J. M. Douglass, S. W. Sanderson, Obed Harvey, C. W. Brewster, Geo W. Swan, Chas P. Jackson, Samuel Fleming, Theo F. Tracy and W. S. Burrus.
In testimony thereof we have hereunto severally and personally subscribed our names, places of residence, and the number of shares taken in said Company on this the Fourth day of June A.D. 1862.

Personally appeared, S.W. Sanderson, G.W. Swan and W.S. Burrus, who being first duly sworn each for himself saith that he is one of the persons named as Directors in the foregoing investment. That the amount of stocks stated in said instrument has been actually subscribed and ten per cent therein in cash has actually and in good faith been paid in and that all the subscribers to said articles are all known to affiants to be subscribers and to be the persons so represented.
