On the Twenty eighth day of August A. D. One Thousand Eight hundred and Sixty-Three before me F. J. Thibault, a Notary Public in and for said City and County, residing therin, duly commissioned and sworn, personally appeared
A. W. Bee, M. A. Wheeler, and Henry S. Brooks
whose names are subscribed to the annexed Instrument as parties thereto, who are personally known to me to be the individuals described in and who executed the annexed Instrument, and they severally each for himself duly acknowledged to me that they executed the same freely and voluntarily, and for the uses and purposes therein mentioned.
In Witness Whereof, I have hereunto set my hand and affixed my Official Seal, at my office in the City and County of San Francisco, the day and year last above written.

The undersigned having this day formed a Corporation for the purpose of Mining, do hereby certify that the name of said Corporation shall be Rochester Gold & Silver Mining Company. That the object of said Corporation is to carry on and conduct the business of Mining, on that certain Vein or Lode known by the name District of County Reese River Mining District Lander County Nevada Territory.
The amount of Capital Stock of said Corporation shall be One Hundred & Twenty Thousand Dollars, which shall be divided into Twelve Hundred Shares, One Hundred Dollars each.
The said Corporation shall exist for the Term of Fifty years, and it concerns shall be managed by a Board. The principal place of business of said Corporation shall be in the County of San Francisco where an office shall be kept for that purpose.
The following person, to wit:
A. W. Bee, M. A. Wheeler, S. C. Gallagher, Henry S. Brooks, W. C. Harrington shall be the Trustees to manage the concerns of said Corporation for the first three months.
