Articles of Association
Know all men by these presents that we, the undersigned, being the subscribers to the Stock of a Contemplated Rail Road from a point on the Bay of San Francisco, at, or near, Sauceleto in the County of Marin, and State of California through the Counties of Marin, Sonoma, Mendocino, and Humboldt to Humboldt Bay in the said County of Humboldt, State aforesaid. Which Stock subscribed by us amounts to us at least one thousand Dollars per mile for each and every mile of the said Road so intended to be built and which Stock has been subscribed by us in good faith, and more than ten per cent thereon in cash has been paid actually and in good faith, to Alexander Ely – one of our number – who by us has been appointed Treasurer, and being desirous of forming a Corporation, do hereby at a regular meeting of the said Stockholders held in pursuance of due notice, thereof in writing, given by the said Treasurer, adopt the following

Articles of Association
Article 1st
The undersigned whose names are hereunto subscribed, do hereby organize, form and become a Corporation and body corporation under and in pursuance of an "Act to provide for the incorporation of Rail Road Companies", approved May 20th 1861 and of the several acts supplementary to and amendatory thereof for the purpose of constructing, owning, and maintaining a Rail Road, from a point on the bay of San Francisco at or near Sauceleto in the County of Marin, through the Counties of Marin, Sonoma, Mendocino, and Humboldt to a point on Humboldt Bay, all in the State of California.

Article 2nd
The name of the Corporation hereby formed, and organized, shall be The San Francisco and Humboldt Bay Rail Road Company, and the same shall continue in existence for the term of fifty years from the date hereof.

Article 3rd
The Capital Stock of the said Corporation shall be, and is hereby fixed at Eight million, Six hundred thousand Dollars being the actual cost constructing the said Rail Road, the cost of the right of way, Motive-power, and every other appurtenance for the completion and running of the said Rail Road as estimated by competent Engineers and shall consist of, and be divided into Eighty-six thousand Shares of One Hundred Dollars each.

Article 4th
The number of Directors to manage the concerns of the Corporation shall be five (5), and the names of the persons chosen to act as such Directors, and to hold their offices, till others are elected are, P. Edward Connor, Alexander Ely, Fred A. Bee, James Thomas Boyd, and S. R. Throckmorton, all of whom are subscribers to the Articles of Association.

Article 5th
The Length of the said proposed Rail Road, as nearly as the same can be ascertained, is Two Hundred Miles.

Article 6th
The three persons who have been selected to open Books of Subscription to the Capital Stock of the said Corporation, are Alexander Ely, S. R. Throckmorton, and H. A. Cobb, all of whom are subscribers to the Articles of Association.
In Witness Whereof, we have hereto severally subscribed our names and places of Residence, this the Twenty-fifth Day of February A. D. one thousand, eight hundred, and sixty-eight.

On the Twenty-eighth Day of February A. D. one thousand eight hundred and sixty-eight formally applied before me, a notary public, in and for the City and County of San Francisco – Fred A Bee, P. Edward Connor, and Alexander Ely – three of the "Directors of the San Francisco and Humboldt Bay Rail Road Company" duly elected by the stockholders of the said Company, and who being duly sworn, on their oaths, do Say, That one thousand Dollars per mile, for each and every mile of the said Rail Road proposed and mentioned in the foregoing "Articles of Association", has actually and in good faith, been subscribed to the stock of the said Company, by the persons whose names appear subscribed to the said Articles of Association and that not less than Ten per cent of the said amount, namely, Twenty Thousand Dollars, has been actually and in good faith, and in cash, paid in to Alexander Ely the Treasurer appointed by the Subscribed names in the foregoing "Articles of Association" are all known to them, and to each of them to be the subscribers thereto, and to the persons so represented.
